Additional Terms shall prevail to the extent there is any conflict or inconsistency with any of these Terms.

TRADE-MARKS

EvikDx is a trade-mark of Evik Diagnostic Innovations Inc.. We may include other trade-marks on the Site under license. The use or misuse of any trade-marks or any other Content on the Site, except as allowed in these Terms, is strictly prohibited. Nothing on the Site should be interpreted as granting you, directly or indirectly, any license or right to use any trade-mark without our prior written permission.

PROHIBITED USES

By using the Site, purchasing Products or Services, you agree that you are prohibited from using the Site, Content, or any Product or Service:

•        for any unlawful purpose;

•        to solicit others to perform or participate in any unlawful acts;

•        to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances;

•        to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

We reserve the right to block your access to the Site if you do not comply with any part of these Terms or any applicable law.

SITE PLATFORM

The Site is hosted on Squarespace. Squarespace provides us with the online e-commerce platform that allows us to sell our Products and Services to you.

GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason not prohibited by applicable law, including the Ontario Human Rights Code.

You understand that your content (not including credit card information) may be transferred unencrypted and involve: (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

Certain Products or Services may be available in limited quantities and are subject to return or exchange only according to our Return Policy.

LIMITATION OF LIABILITY

IN NO CASE SHALL Evik Diagnostic Innovations Inc., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS ("REPRESENTATIVES") BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SITE, PRODUCTS, OR SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SITE.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions our liability shall be limited to the maximum extent permitted by law.

We will not be liable to you for any breach of these Terms caused by any event or circumstance beyond our reasonable control, including without limitation strikes, breakdown of systems or network access, flood, fire, explosion, accident, or cyber or terrorist attacks.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Evik Diagnostic Innovations Inc. and its Representatives from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: (i) your breach of these Terms or the documents they incorporate by reference; (ii) your violation of any law or the rights of a third party; or (iii) your use of the Site, Products, or Services.

SEVERABILITY

If any provision of these Terms is determined by a court of competent jurisdiction to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms.

TERMINATION

If, in our sole judgment, you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we may block your access to the Site and your ability to purchase any Products or Services at any time without notice. You will remain liable for all amounts due up to and including the date of termination.

WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with the Privacy Policy and any Additional Terms, contain the entire understanding and agreement between us and you in relation to your use of the Site, Content, Products, and Services, and supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written.

GOVERNING LAW

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to any choice of law or conflicts of law principles. You agree that any legal action or proceeding relating to this agreement will be brought in a provincial or federal court in Toronto, Ontario, Canada. You and we submit to the exclusive jurisdiction of these courts.

CHANGES TO TERMS OF SERVICE

We reserve the right to modify these Terms from time to time. When any sections of these Terms are modified, the Site will display an alert prompting you to review the changes, or you may receive an email notification. By continuing to use the Site after receiving that notice, you consent to be bound by the terms in effect on that date. A log of changes appears in the Change Log below.
